PL Developments Heats Up Private Label Market With Aaron Deal.

Acquiring liquid product manufacturer Aaron Industries expands soliddose
firm PL Developments’ presence in the field at a time when
competition for OTC market share already is fierce. “We think this is a
game changing transaction for us and the industry,” says PL
Developments exec Evan Singer.

Solid-dose product manufacturer PL Developments improves its outlook for
gaining OTC private label market share with its acquisition of liquid and first aid
product firm Aaron Industries.
“We’ve been looking for a while to transform our portfolio and this was our
opportunity,” said Evan Singer, executive VP of Westbury, N.Y.-based PL
Developments.

PL Developments acknowledges building private label market share means
targeting Perrigo Co.
“Now, other than Perrigo, we are the only manufacturer of store brands with a full
line of OTC solid and liquid products,” Singer said, adding, “We think this is a
game-changing transaction for us and the industry.”
Both PL Developments and Aaron are private, so the terms of the Nov. 18 deal
were not disclosed. Singer says both businesses have been growing
substantially. Each already serves most of the largest U.S. retailers, including
Wal-Mart Stores Inc. Sam’s Club, Costco, Walgreen Co., CVS Caremark Corp.,
Target and Dollar General.
PL Developments had a compound annual growth rate of 22.5% from 2010 to
2012, and Clinton, S.C.-based Aaron’s most recent CAGR is 15%, according to
PL Developments.
This creates lots of new opportunities for” PL Developments, says market
researcher Laura Mahecha of Kline & Co. “Most children’s products, for example,
are liquids, so that alone is a big new market for them.”
Post-merger, the firm is expected to generate $400 million in sales supplying
products in categories that exceed $1 billion in sales. Still, the company will be
dwarfed by Perrigo, which had more than $3.5 billion in sales in its previous fiscal
year.
However, PL Developments does not plan to stop at expanding with Aaron’s
capabilities.

“There are still lots of aisles in the store where we don’t have product. I don’t
know where the next big opportunity comes, but we are evaluating the
alternatives,” Singer said.
OTC switches could be one area of opportunity for PL Developments, as they are
for Perrigo.

“Switches are seen as a crucial lever to control health costs. That will positively
impact our long term growth strategy,” Singer said.
FDA’s NSURE initiative is “expected to increase the number of switches,”
Mahecha said. “And there are some very attractive potential switches ahead.”
NSURE, the Nonprescription Drug Safe Use Regulatory Expansion, outlines a
more [/one_half] flexible paradigm to encourage more switches. Although the initiative has
not generated proposed changes from FDA, the agency is encouraging drug
firms to make innovative switch proposals under current regulations (“FDA
Encourages Novel Switch Ideas, Though NSURE Remains Unsure” — “The Tan
Sheet,” Nov. 7, 2013).

OTC Sales Flat, Private Label Grows

While acquiring Aaron will expand PL Developments’ business, the deal will not
make current competition for market share in the OTC drug space any less
daunting, particularly with market data showing U.S. manufacturers’ sales were
flat in 2012.

Kline reports that U.S. manufacturers’ sales of OTC products in 2012 were $22.5
billion, up only 0.1% from the previous year. Manufacturers’ sales of private label
OTCs account for 26.4% of the total market, or $6 billion in 2012, up 3.9% from
2011.
The private label sector grew substantially during the recession, and consumers
who moved to private label products for the first time largely have stuck with
them.

During the Private Label Manufacturers Association trade show Nov. 17-19 in
Chicago, Neilsen executive Todd Hale presented data showing that medications
and remedies are among the top five categories of private brands to show
increases during a 12-month period ending in August 2013.
Susan Viamari, editor of market research firm IRI’s Times & Trends monthly
report, said private label comprised 14.4% of all consumer packaged sales in
2011. “We have found that there are pockets of growth and some areas where
brands are winning market share,” she said in an interview.
Private label firms now are competing both at the value and premium ends of the
price spectrum. “Companies are winning share by innovation,” Viamari said.
“After all, even at the premium end it’s still cheaper than the brand offerings.”
Even with private label firms encroaching in the premium realm, OTC brand firms
remain particularly watchful on the value end. Matthew Mannelly, CEO of
Prestige Brands Holdings Inc., said recently that the firm expects to retain
market share with its products, which include BC and Goody’s in pain relief, Little
Remedies children’s products, Clear Eyes eye drops and Chloraseptic throat
remedies.

“The last thing you want to do is get to a price as low as private label. Your job is
to provide something to the consumer, functional and/or emotional, that private
label cannot provide,” Mannelly said at the Morgan Stanley Global Consumer &
Retail Conference in New York.

Combined company offers itself as alternative to rapidly growing Perrigo

The over-the-counter market is expected to expand as more prescription drugs get moved to OTC status and retailers look for store brands that will compete. Two smaller players in the industry have decided to join their manufacturing and distribution forces to cash in on retailers’ hunger for private-label products and position the expanded company as an alternative to OTC colossus Perrigo ($PRGO).

New York-based solid-dose player PL Developments said it will buy Aaron Industries, a liquid product specialist based in South Carolina. Both companies are private, and so terms of the deal, which may close yet this month, were not disclosed.

“PL Developments’ preeminent position in the solid dose market segment, combined with Aaron Industries’ strength in liquids and first aid products, allows us to provide greater product depth and choices for the growing needs of our retail partners and the consumer packaged goods industry,” said PL Developments CEO Mitch Singer.

The compelling proposition to the deal, explained PL spokesman Rick Anderson, is that it offers a strong competitor to market-dominant Perrigo. “You are bringing together a very, very strong number two in solid dose products with a number one in the liquid dose products and the combined companies result in an emerging force.”

Anderson said PL has built its expertise in packaging and distribution to meet the demanding just-in-time requirements of a long list of large-box retail chain customers like WalMart, Costco, Walgreen’s, CVS, Target, Dollar General and others. “PL is much more advanced in manufacturing and distribution and that will really benefit Aaron. Together they will have more than 300 products and 3,000 SKUs.”

PL has manufacturing and distribution facilities in Miami, FL, and Westbury, NY, where it is headquartered. Aaron has plants in Clinton, SC, where it is based, and in Los Angeles. PL will consolidate all of the administrative functions into its Westbury operations but keep all of the manufacturing. PL has about 660 employees and Aaron about 450. When the deal closes, there will be some layoffs because of overlaps in administration, but it will affect less than 5% of the workforce, Anderson said. The combined operation will still have more than 1,000 employees. It will also have sales of more than $400 million.

That makes the beefed-up player still small compared to Perrigo, the world’s largest manufacturer of store-brand OTC products covering everything from cough and cold meds to diabetes products. It had more than $3.5 billion in sales in its last fiscal year, which closed July 31, and it is getting bigger. It is in the process of buying Ireland-based Elan ($ELN) in an $8.6 billion cash-and-stock deal that gets it Elan’s low Irish tax rate and assets for expansion in Europe, but no products. Elan has lots of cash and a large royalty stream from having sold off the remaining rights to its multiple sclerosis drug Tysabri to partner Biogen Idec ($BIIB). Perrigo has also completed some smaller deals to expand into dermatology products and pet care.

Aaron Industries majority owner Stephens Capital Partners partially financed the transaction, according to a PL Developments statement.

PL Developments manufactures, packages and distributes solid-dose over-the-counter pharmaceutical and nutritional supplement products. Aaron Industries manufactures and distributes liquid-dose, over-the-counter health care products.

Aaron Industries’ operations will be completely integrated into PL Developments, with the combined company headquarters in Westbury, N.Y. Aaron’s manufacturing and distribution facilities will remain in Clinton, where it has about 140 employees, and in Los Angeles, where there are about 220 employees.

PL Developments executive vice president of corporate development Evan Singer said the plan is “to keep the current facilities network intact. We plan to invest heavily in infrastructure, to make improvements.”

Each year the notable anniversaries of five, ten, and fifteen years are celebrated at a companywide awards ceremony. 2012 was shown to be a significant year with more than sixty employees reaching one of these milestones.

As the year went by 51 employees made it to the five year milestone, nine more reached ten years, and one additional worker achieved the extraordinary 15 year milestone. A few employees shared some thoughts about their tenure with PLD. Tom Crowe, Chief Information Officer, stated, “It’s rare today to be part of an organization that has experienced the growth and success that we have at PLD. The last five years have been both challenging and rewarding for my career and I’ve enjoyed working with a great group of people, led by a family that encourages the advancement of its employees. I look forward to celebrating many more anniversaries at PLD.” Tim Riffle, Production Manager, added, “I knew after my first day of work at PLD that I wanted to make a career out of it. It’s been truly amazing watching how much the company has grown over the past five years. Over the years PL Developments has implemented several programs in order to aid those in need and support the community. Partnering with Medical Teams International, this program allows quality, over-the-counter pharmaceuticals to be donated and distributed throughout the United States. With assistance from MTI’s Commodity Support Procurement Officer, Teresa Prange, shipments of 40+ pallets of supplies are delivered every two months or so. This new found relationship gives PLD the ability to impact the lives of those both near and far.

Medical Teams International is a Christian global health organization that provides aid to people affected by disaster, conflict, and poverty. PL Developments Raises Money for The Leukemia and Lymphoma Society“]

Earlier this month, PL Developments had the honor of presenting The Leukemia and Lymphoma Society with a substantial contribution. Karen DeMairo and Tammy Philie from the local chapter in Hauppauge, New York were on site at PL Developments’ corporate office to accept the donation. The donation was made possible with the money raised from raffle ticket sales held in conjunction with PL Developments’ Annual Summer Event. In a group effort, PLD personnel reached out to their business partners, friends, and families to contribute prizes and gifts for the raffle. Given all the incentives, the employees were eager to purchase tickets for a chance to win but more importantly, to help others.

The Leukemia and Lymphoma Society is a not-for-profit organization. LLS is fully committed to funding blood cancer research and providing education and patient services. Founded in 1949, it is the world’s largest voluntary health organization. Coming this October, the Long Island chapter will be holding its Annual Light the Night Walk. This is a fundraising walk held at three Long Island localities. The participants in the walk carry illuminated balloons to form a community of caring, bringing light to the dark world of cancer. Recently, PL Developments donated a significant amount of over-the-counter pharmaceuticals for the displaced families affected by the wildfires that occurred in Colorado Springs. The contribution was made possible with a joint effort between the trade association GMDC and the food bank Colorado Care and Share. PLD employees worked quickly to package and ship thousands of packages of generic brand Ibuprofen, Aspirin, and the like.

As a member of the General Market Development Center, known as GMDC, PL Developments responded to their request for personal care items. Located in Colorado Springs, GMDC is a non-profit worldwide trade organization to retailers, wholesalers, and suppliers of general merchandise and health, beauty, and wellness. All the donations were delivered to Colorado Care and Share which is a well-established food bank. They have helped provide food to the hungry of southern Colorado for more than 35 years.

PL Developments’ Employees Complete Six Sigma Training.“]

Recently, employees from PL Developments in Westbury completed Six Sigma Green Belt Certification. This training was made possible with a portion of the grant money PL Developments was awarded from New York State back in December 2011. In April, 19 employees began the in-depth training course. Four teams were each asked to address a particular company initiative or issue. The groups met numerous times over the next two months, and then each group presented their findings to Mitch Singer, President and CEO of PL Developments, and the Executive Team.

Six Sigma is a business management strategy. It uses problem-solving methods and statistical tools to contribute to the success of an organization. The data-driven approach and methodology eliminates defects in any process, from manufacturing to transactional, from product to service. Green Belt certification will enable an employee to serve as a trained team member within his or her function-specific area.

PL Developments partnered with SUNY Stony Brook University which selected GBMP of Boston, Massachusetts as the Lean Training Provider. GBMP, Greater Boston Manufacturing Partnership, is a non-profit organization, based at the University of Massachusetts Boston campus. GBMP has worked with many companies, offering continuous improvement solutions to cut costs and increase sales. The training is tailored to a particular company and is given on-site. Commenting on the results of the training Mitch Singer stated “Overall the program was a great success. Moving forward our objective is to widen our scope on Six Sigma training throughout the company and to incorporate this methodology into our everyday work life.”

PL Developments’ “Kick-Off” for Charity“]

The month of February is a great time of year for one of America’s favorite pastimes: the Super Bowl! With what everyone called Déjà Blue, it was the New York Giants and the New England Patriots once again this year. In the spirit of the big game, PL Developments hosted its own “tailgating” party, but to make it more meaningful and generous, all those employees who participated brought in some sort of canned or dry goods to donate to a local charity. This is common practice for PLD with the thought that it is always a good time to give back to the community. The effort was spearheaded by PLD co-worker Kathy McCabe and she was delighted to deliver two boxes and a bag full of food to St. Vincent de Paul in Lindenhurst, NY.

Pharmaceutical Company PL Developments Donates to Those in Need “]

It can easily be considered customary for PL Developments to give much needed pharmaceuticals to a charitable organization, whether it is local or abroad. Most recently, a large supply of these items was donated to the Jewish Free Pharmacy of Congregation Beth Shalom in Cuba. The doctor in charge of the pharmacy was overwhelmed with gratitude for the generous contribution. Linda Singer, Vice President, Creative Services of PL Developments stated, “When we hear of communities and charities that are in need of pharmaceuticals, we welcome the opportunity to be helpful. It is an important part of our mission to be responsible to our community, both near and far.”

Temple Beth Shalom is a synagogue located near downtown Havana that is active with programs for both the young and the aged, with approximately 100 children attending Sunday school. There is a Men’s Club, Hadassah chapter, as well as teen programs. In addition, the congregation founded the aforementioned Jewish Free Pharmacy which takes responsibility for distributing medications throughout the community.
